These Terms & Conditions (“Terms”) govern your access to and use of FinVerify (the “Service”), operated by PivotalPoint OÜ (“we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. The Service

FinVerify is a professional-grade software service that extracts, reconstructs, and verifies financial data from bank statement documents using deterministic processing and mathematical reconciliation.

The Service may be accessed via:

  • a web-based user interface, and/or
  • an application programming interface (API).

FinVerify does not provide accounting, legal, tax, or financial advice.


2. Verification Model & Explicit Failure

FinVerify operates on a verification-first model:

  • A document is marked VERIFIED only if its internal financial math reconciles within defined tolerances.
  • If reconciliation fails or ambiguity cannot be resolved, the Service explicitly flags the result as FAILED or AMBER (review required).
  • FinVerify does not guess, infer, or silently correct financial data.

Verification results reflect the internal consistency of the submitted document only. They do not certify the accuracy, completeness, legality, or legitimacy of the underlying financial transactions.


3. User Responsibilities

You are responsible for:

  • Ensuring you have the legal right to upload, process, and analyze the documents you submit.
  • Reviewing outputs before using them for accounting, reporting, legal, or regulatory purposes.
  • Maintaining appropriate professional oversight when relying on Service outputs.

You must not:

  • Upload documents containing data you are not authorized to process.
  • Use the Service for unlawful, fraudulent, or misleading purposes.
  • Attempt to disrupt, abuse, reverse engineer, or interfere with the Service.

4. Data Handling & Retention

4.1 Uploaded Documents & Derived Data

Uploaded documents and derived data are processed solely for the purpose of providing the Service.

We retain uploaded files and derived data only for as long as reasonably necessary to:

  • complete processing,
  • make results available to the user,
  • maintain auditability of verification outcomes,
  • prevent abuse and ensure service integrity.

Retention periods may vary depending on usage context (e.g. interactive use, API usage, or support requests).

We do not use uploaded documents or extracted data to train machine learning models or for any purpose unrelated to providing the Service.

Users may request deletion of uploaded documents and associated data, subject to legal, contractual, and operational requirements.

4.2 Audit & Processing Records

FinVerify maintains append-only processing metadata, reconciliation summaries, and system logs for:

  • auditability,
  • service integrity,
  • abuse prevention,
  • and operational troubleshooting.

Such records do not involve silent modification of verification outcomes and may be retained independently of uploaded document files.


5. No Warranty

The Service is provided “as is” and “as available”, without warranties of any kind.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • fitness for a particular purpose,
  • merchantability,
  • accuracy or completeness of extracted data,
  • uninterrupted or error-free operation.

FinVerify verifies internal mathematical consistency; it does not guarantee correctness of source documents.


6. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, or consequential damages.
  • We shall not be liable for losses arising from reliance on Service outputs without appropriate professional review.
  • Our total aggregate liability for any claim shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

7. Professional Use Disclaimer

FinVerify is intended for professional and technical users.

Outputs must be reviewed by a qualified professional before being used for:

  • accounting entries,
  • tax filings,
  • legal proceedings,
  • regulatory submissions,
  • or financial decision-making.

You remain solely responsible for compliance with applicable laws and professional standards.


8. API Usage

If you access FinVerify via API:

  • You are responsible for safeguarding your API credentials.
  • Usage limits, quotas, and rate restrictions may apply.
  • Abuse or excessive usage may result in suspension or termination.

We reserve the right to modify API limits or functionality with reasonable notice.


9. Suspension & Termination

We may suspend or terminate access to the Service if you:

  • violate these Terms,
  • misuse system resources,
  • or use the Service in a manner that exposes us to legal or operational risk.

Termination does not relieve you of obligations incurred prior to termination.


10. Changes to the Service or Terms

We may modify the Service or these Terms from time to time.

Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.


11. Governing Law & Jurisdiction

These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.
